Single Alternative Inspection Location
– SAIL
The companies act in its various forms has always required
that a company maintains a set of company registers that
should be made available for inspection on request. Most
companies keep these at the registered office address. Following
the introduction of the Companies Act 2006 and the Companies
Regulations 2008 a company may now keep their registers
at a Single Alternative Inspection Location (SAIL).
If a company chooses to keep the registers at a SAIL then
Companies House should be informed using form AD02. If the
location of the registers subsequently changes then again
Companies House should be informed by completing form AD03.
The use of a Single Alternative Inspection Location may
be beneficial for the many businesses that operate from
their home. Subject to, conditions members of the public
have a right to inspect the company registers. Using an
alternative location to store your registers would mean
that any inspection of the registers would not take place
at your family home. For other businesses that may receive
regular inspection requests, the use of an alternative location
may prevent unnecessary disruption.
What are company registers?
Section 1136 (2) of the Companies Act identifies up to 13
registers that may need to be kept at either the registered
office address or the SAIL-
register of members
register of directors
register of directors' service contracts
register of directors' indemnities
register of secretaries
records of resolutions etc
contracts relating to purchase of own shares
documents relating to redemption or purchase of own shares
out of capital by private company
register of debenture holders
report to members of outcome of investigation by public
company into interests in its shares
register of interests in shares disclosed to public company
register of instruments creating charges and register of
charges: England and Wales
register of instruments creating charges and register of
charges: Scotland
Not all companies will keep a full register of 13 sections.
Can different sections of the registers be kept at different
addresses?
No. All registers must be kept at one location, either the
registered office address or the SAIL.
How do I inform Companies House that I wish to keep my registers
at a SAIL?
You file form AD02 at Companies House. This can be filed
online using Companies House web filing.
