What are the Articles of Association?

This document sets out the rules for the internal running of the company, governing the rights and duties of the members of a company among themselves. Articles deal with internal matters such as general meetings, appointment of directors, issue and transfer of shares, dividends, accounts and audit.

Most companies are now formed with 'model articles' that were introduced by the Companies Act 2006. These model articles apply to new limited by shares companies incorporated on or after 1 October 2009 by SFS. Limited by guarantee companies may have one of several types of articles of association that we provide.
